Provider is a health care provider that desires to enroll in HOW, be included in Database, and be eligible to receive Leads. HOW will indemnify and hold harmless Provider from any and all liability, loss, damage, claim, or expense of any kind, including, without limitation, costs and reasonable attorney’s fees, which arise out of or are related to the breach of this Agreement or negligent, reckless, or intentional acts or omissions of Provider, its employees, representatives, and agents.

Users acknowledges and agrees that this Agreement will be governed by and construed under the laws of the State of New Jersey, excepting and without application of its conflicts of laws principles and that the venue for resolution of any dispute, controversy, or claim arising out of or relating to this Agreement by a court of law shall be in state or federal courts located within the State of New Jersey, United States of America. In the event that the parties agree to resolve such dispute, controversy, or claim through mediation, binding or non-binding arbitration, or any other form of alternative dispute resolution, the venue will be in Princeton, New Jersey, United States of America, at a location mutually agreed to by the parties.
